By accessing and using Devkart Technologies LLP's services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you ("Client," "you," or "your") and Devkart Technologies LLP ("Company," "we," "us," or "our").

Consulting Services

  • Technology strategy consulting
  • Architecture design and review
  • Digital transformation guidance
  • Security assessment and implementation
  • Performance optimization
  • Project management and oversight

3. Client Responsibilities

To ensure successful project delivery, clients agree to:

Project Requirements

  • Provide clear, detailed project requirements and specifications
  • Participate actively in project planning and requirement gathering sessions
  • Provide timely feedback during development milestones
  • Designate authorized representatives for project decisions

Resources and Access

  • Provide necessary access to systems, data, and third-party services
  • Ensure availability of key stakeholders for meetings and reviews
  • Provide required content, assets, and documentation
  • Maintain secure and reliable communication channels

Compliance and Legal

  • Comply with all applicable laws and regulations
  • Ensure proper licensing for all third-party software and services
  • Maintain confidentiality of proprietary information
  • Report any security incidents or data breaches immediately

4. Payment Terms and Conditions

Payment Structure

  • Project payments are typically structured in milestones
  • Initial payment (25–50%) required before project commencement
  • Milestone payments due upon completion and approval of deliverables
  • Final payment due upon project completion and delivery
  • Monthly retainer fees for ongoing support and maintenance

Payment Terms

  • Payment terms: Net 15 days from invoice date
  • Late payments subject to a 1.5% monthly service charge
  • All fees are non-refundable unless specified in the project agreement
  • Currency: USD unless otherwise specified in the project contract
  • Accepted payment methods: bank transfer, credit card, ACH

5. Intellectual Property Rights

Intellectual property rights are clearly defined to protect both parties' interests:

Client Ownership

  • Custom-developed software and applications
  • Business logic and proprietary algorithms
  • Client-specific configurations and customizations
  • Data, content, and business processes

Devkart Ownership

  • Pre-existing frameworks and libraries
  • General methodologies and best practices
  • Reusable components and templates
  • Company proprietary tools and processes

Third-Party Components

Open-source and third-party components remain subject to their respective licenses. We ensure all third-party components are properly licensed and documented.

6. Confidentiality and Data Protection

We are committed to protecting your confidential information and maintaining the highest standards of data security. We will:

  • Maintain strict confidentiality of all client information
  • Implement industry-standard security measures and protocols
  • Limit access to authorized personnel only
  • Comply with GDPR, CCPA, and other applicable privacy regulations
  • Provide secure data handling and storage practices
  • Execute separate NDAs when required

7. Limitation of Liability

To the maximum extent permitted by law, Devkart Technologies shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption beyond our control
  • Service interruptions due to third-party failures
  • Force majeure events and circumstances

Liability Cap

  • Total liability limited to the project contract value
  • Maximum liability: $100,000 per incident
  • Claims must be made within 12 months
  • Warranty period: 90 days post-delivery

8. Termination and Project Cancellation

Client Termination Rights

  • 30-day written notice for convenience
  • Immediate termination for material breach
  • Payment for completed work and expenses
  • Delivery of completed deliverables

Company Termination Rights

  • Non-payment of invoices (30+ days overdue)
  • Material breach of agreement terms
  • Failure to provide required resources or access
  • Illegal or unethical use of services

9. Governing Law and Dispute Resolution

  • These terms are governed by the laws of Tamil Nadu, India
  • Disputes are subject to the jurisdiction of Gobichettipalayam courts
  • International clients: arbitration in accordance with ICC rules
  • Mediation is preferred before formal legal proceedings

Dispute Resolution Process

  1. Direct negotiation between parties (30 days)
  2. Mediation with a neutral third party (60 days)
  3. Binding arbitration or court proceedings
  4. Prevailing party entitled to reasonable attorney fees

10. Modifications and Updates

We may update these terms periodically to reflect changes in our services, legal requirements, or business practices:

  • 30-day advance notice for material changes
  • Email notification to registered clients
  • Website posting of updated terms
  • Continued use constitutes acceptance of changes
  • Right to terminate if you disagree with changes
